End User License Agreement

This EULA governs your use of the Application licensed to you for use only under the Apple Media Services Terms and Conditions (“Usage Rules”). You acknowledge that this EULA is between you and Empire Grove only, and not with Apple.

Empire Grove grants you a non-transferable license to use the Application on any Apple-branded products that you own or control, as permitted by the Usage Rules. You may not distribute or make the Application available over a network where it could be used by multiple devices at the same time, except as permitted by the Usage Rules. You may not transfer, redistribute, or sublicense the Application, and you may not copy, reverse-engineer, decompile, disassemble, or attempt to derive the source code of, modify, or create derivative works of the Application except as permitted by applicable law.

You must be at least 13 years of age (16 in the EU) to use the Application. You are responsible for providing accurate registration information, for maintaining the confidentiality of your credentials, and for all activity under your account. You may not create more than one account per person.

The Application provides AI-generated workout recommendations, training programs, and health-related insights for general informational and educational purposes only. It is not a medical device and does not provide medical advice, diagnosis, or treatment.

• Consult a physician before beginning any new exercise program, especially if you have a medical condition, injury, or health concern.
• Stop exercising immediately and seek medical attention if you experience pain, dizziness, shortness of breath, or any other unusual symptom.
• Recommendations are generated from self-reported and device-reported data and from general exercise-science principles, and may not be appropriate for your specific situation.
• Empire Grove is not responsible for injuries, health outcomes, or other results arising from your use of the Application. You assume all risks associated with physical exercise.

If you enable Apple HealthKit integration, you grant the Application permission to read and, where you enable it, write health and fitness data for the purpose of personalizing your training. HealthKit data is used solely to provide Application functionality, is not used for advertising or marketing, is not shared with third parties for their own use, and is never sold. You may revoke access at any time in iOS Settings → Privacy & Security → Health.

Certain features require a paid auto-renewable subscription purchased through Apple's In-App Purchase. Available subscriptions are the Orion Coach Monthly and Orion Coach Annual plans, at the prices and terms displayed in the Application at the time of purchase, and may include a free trial.

• Payment is charged to your Apple Account at confirmation of purchase.
• Your subscription automatically renews unless auto-renew is turned off at least 24 hours before the end of the current period. Your account is charged for renewal within 24 hours prior to the end of the current period.
• You can manage and cancel subscriptions, and turn off auto-renew, in your Apple Account settings (Settings → [your name] → Subscriptions) after purchase.
• Any unused portion of a free trial is forfeited when you purchase a subscription.

Refunds are handled by Apple in accordance with the Apple Media Services Terms and Conditions.

Empire Grove is solely responsible for providing any maintenance and support services for the Application, as required under applicable law. Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the Application. Support is available at orioncoach.com/support.

Empire Grove is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. In the event of any failure of the Application to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the Application to you; to the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the Application. Except for the foregoing, any further claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty will be the sole responsibility of Empire Grove. The Application is otherwise provided “AS IS” and “AS AVAILABLE” without warranties of any kind, to the maximum extent permitted by applicable law.

Empire Grove, not Apple, is responsible for addressing any claims by you or any third party relating to the Application or your possession and/or use of the Application, including but not limited to: (a) product liability claims; (b) any claim that the Application fails to conform to any applicable legal or regulatory requirement; and (c) claims arising under consumer protection, privacy, or similar legislation, including in connection with the Application's use of HealthKit.

In the event of any third-party claim that the Application or your possession and use of the Application infringes that third party's intellectual property rights, Empire Grove, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such intellectual property infringement claim. The Application and its original content, features, and functionality are owned by Empire Grove and protected by intellectual property laws. Your workout and health data remains yours; you grant Empire Grove a license to use it to provide and improve the Application.

You represent and warrant that (a) you are not located in a country subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a “terrorist supporting” country; and (b) you are not listed on any U.S. Government list of prohibited or restricted parties.

You agree not to use the Application for any unlawful purpose; to interfere with or disrupt the Application or its infrastructure; to use automated tools to access it; to impersonate any person or entity; or to share your credentials with others.

This license is effective until terminated by you or Empire Grove. Your rights under this EULA will terminate automatically if you fail to comply with any of its terms. We may suspend or terminate your access if you violate this EULA. You may delete your account at any time from the Profile screen within the Application. Provisions that by their nature should survive termination (including disclaimers, limitations of liability, and dispute resolution) survive.

To the maximum extent permitted by applicable law, Empire Grove shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, personal injury, or loss of profits, arising out of your use of the Application.

This EULA is governed by the laws of the Commonwealth of Pennsylvania and the United States, without regard to conflict-of-law principles. Any dispute shall be resolved through binding arbitration administered in Pennsylvania in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in court for intellectual property violations.

You must comply with applicable third-party terms of agreement when using the Application (for example, your wireless data service agreement).

You and Empire Grove acknowledge and agree that Apple, and Apple's subsidiaries, are third-party beneficiaries of this EULA, and that upon your acceptance of this EULA, Apple will have the right (and will be deemed to have accepted the right) to enforce this EULA against you as a third-party beneficiary of this EULA.

We may update this EULA from time to time. We will notify you of material changes via the Application or email. Your continued use of the Application after changes become effective constitutes acceptance of the revised EULA.
