Terms of Use

By downloading, installing, or using the Orion Coach application (“App”) or any related services (collectively, the “Service”), you agree to be bound by these Terms of Use (“Terms”). If you do not agree, do not use the Service.

These Terms constitute a legally binding agreement between you and Orion Coach, operated by Empire Grove LLC (“we,” “our,” or “us”).

You must be at least 13 years of age (16 in the EU) to use the Service. By using the Service, you represent that you meet this requirement.

• You must provide accurate, current, and complete information when creating an account.
• You are responsible for maintaining the confidentiality of your password.
• You are responsible for all activity that occurs under your account.
• You must notify us immediately of any unauthorized use of your account.
• You may not create more than one account per person.

Certain features of the Service require a paid subscription. By subscribing, you agree to:

• Pay all applicable fees as described at the time of purchase
• Provide accurate and complete billing information
• Automatic renewal of your subscription at the end of each billing period unless cancelled

Subscriptions may be managed and cancelled through your account settings. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial billing periods except where required by law.

We reserve the right to modify pricing with 30 days' notice. Continued use of the Service after a price change constitutes acceptance of the new price.

The Service provides AI-generated workout recommendations and health insights for informational purposes only. It is not a substitute for professional medical advice, diagnosis, or treatment.

• Consult a physician before beginning any new exercise program, especially if you have a medical condition, injury, or health concern.
• Stop exercising immediately if you experience pain, dizziness, shortness of breath, or any other unusual symptom.
• AI coaching recommendations are generated based on self-reported data and general exercise science principles. They may not be appropriate for your specific situation.
• We are not responsible for injuries, health issues, or other outcomes that result from following recommendations provided by the Service.

If you enable Apple HealthKit integration, you grant Orion Coach permission to read health data from HealthKit for the purpose of personalizing your training recommendations. You may revoke this permission at any time in iOS Settings → Privacy & Security → Health → Orion Coach.

You agree not to:

• Use the Service for any unlawful purpose
• Attempt to reverse engineer, decompile, or extract source code from the App
• Use automated tools (bots, scrapers) to access the Service
• Interfere with or disrupt the Service or its infrastructure
• Impersonate any person or entity
• Share your account credentials with others

The Service and its original content, features, and functionality are owned by Orion Fitness and are protected by copyright, trademark, and other intellectual property laws. Your workout data remains yours; you grant us a license to use it to provide and improve the Service.

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

We may suspend or terminate your account at our discretion if you violate these Terms or engage in conduct we deem harmful to the Service or other users. You may delete your account at any time from the Profile screen within the App.

Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination (including disclaimers, limitations of liability, and dispute resolution) will survive.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ORION FITNESS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, PERSONAL INJURY, OR LOSS OF PROFITS, ARISING OUT OF YOUR USE OF THE SERVICE.

These Terms are governed by the laws of the United States, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in court for intellectual property violations.

We may update these Terms at any time. We will notify you of material changes via the App or email. Continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
